Boards of directors play critical roles in the successful operation of banks. Sound decisions begin with timely, accurate, relevant, and complete information. The OCC recognizes the challenges facing bank directors. The Director’s Reference Guide to Board Reports and Information helps directors focus on key areas of planning, operations, and risk management and is organized to provide examples of sources of information, measures, questions to consider, red flags, and references. The types, amount, and frequency of information that directors should receive to effectively perform their duties vary at each bank and continually evolve. For an overview of the OCC, an outline of directors' responsibilities as well as management’s role, an explanation of basic concepts and standards for safe and sound operation of banks, refer to the Director's Book: Role of Directors for National Banks and Federal Savings Associations .
